1. Broker Status

PAXIM FREIGHT is a professional freight dispatch and brokerage service dedicated to helping independent owner-operators and motor carriers secure consistent, high-paying freight opportunities throughout the United States. Our experienced dispatch team negotiates competitive freight rates, coordinates with brokers and shippers, manages load scheduling, and provides continuous support to help carriers maximize their earnings while minimizing downtime. Our responsibility is limited to arranging transportation services, and we do not operate as a motor carrier or transport freight directly.

2. Carrier Status

The Carrier acknowledges that they are an independent motor carrier operating under their own authority and assumes full responsibility for the safe, legal, and timely transportation of all freight accepted through PAXIM FREIGHT. The Carrier agrees to maintain all required operating authority, licenses, permits, registrations, and insurance coverage throughout the duration of this Agreement. The Carrier further agrees to comply with all applicable federal, state, and local transportation laws while maintaining professional standards of service for every dispatched load.

3. Our Commitment

At PAXIM FREIGHT, we value long-term partnerships built on honesty, transparency, and mutual success. Our goal is to provide reliable dispatch services, quality freight opportunities, and professional support that allows carriers to focus on driving while we handle load planning, negotiations, paperwork, and communication. We are committed to providing dependable service, prompt assistance, and competitive freight solutions that help grow your business with confidence.

4. Payment Terms

To ensure timely payment, the Carrier agrees to submit a completed invoice, Proof of Delivery (POD), and all required supporting documents immediately after each successful delivery. Once all documentation has been received and verified, PAXIM FREIGHT will process payment within 24 hours. Carriers choosing to use our Quick Pay service acknowledge that a 1.5% processing fee will be deducted from each qualifying invoice before payment is issued. Our payment process is designed to be fast, transparent, and reliable, allowing carriers to receive funds quickly while maintaining a smooth and professional business relationship.

5. Security Deposit

Every new Carrier accepting a dedicated contract with PAXIM FREIGHT is required to submit a $400 refundable security deposit before dispatch. This deposit confirms the Carrier's commitment to the dedicated lane and helps prevent last-minute cancellations after freight has been reserved and scheduled. The security deposit is not a service fee and will be fully refunded after the Carrier successfully completes two (2) satisfactory loads in accordance with the terms of this Agreement, provided there are no outstanding obligations, damages, or contractual violations.

6. Confidentiality

The Carrier agrees to maintain the strict confidentiality of all information received from PAXIM FREIGHT, including but not limited to customer information, broker details, shipper information, freight rates, pricing, routes, contracts, and business practices. Such information shall not be shared, copied, disclosed, or used for any purpose other than fulfilling transportation services under this Agreement. The Carrier further agrees not to contact, solicit, or establish any direct business relationship with customers or shippers introduced by PAXIM FREIGHT without prior written consent.

7. Contract Term

This Agreement shall become effective on the date it is signed by both parties and shall remain valid for a period of two (2) months. Upon expiration, the Agreement shall automatically terminate unless both parties mutually agree in writing to renew or extend its terms. Either party may terminate this Agreement earlier if any material breach of the Agreement occurs or as otherwise permitted by applicable law.

8. Insurance

The Carrier shall maintain all legally required insurance coverage throughout the duration of this Agreement, including Commercial Auto Liability Insurance and Cargo Insurance. The Carrier agrees to provide valid proof of insurance upon request and shall immediately notify PAXIM FREIGHT of any cancellation, expiration, suspension, or material change to its insurance coverage. Failure to maintain the required insurance may result in the suspension or termination of dispatch services.
